Any service not specifically listed on our website or invoice is considered outside scope unless agreed to in writing.

3. Service Requests & Fit

  • New service requests begin by reviewing our Services & Pricing page and submitting the required request form.
  • Submitting a request does not guarantee acceptance of your project or monthly service.
  • We reserve the right to decline requests that are outside scope, not a fit, or not aligned with current availability.
  • Final scope, timeline, and pricing are confirmed after review of your request.

4. Payments & Billing

  • All service fees are due as stated on your invoice or service agreement.
  • Project-based services must be paid in full to secure your start date unless otherwise agreed in writing.
  • Monthly services are billed in advance for each monthly cycle.
  • Late payments may incur a fee if more than 10 days past due.
  • Work may be paused if invoices are not paid within the agreed timeframe.

5. Scheduling & Timelines

  • Services are provided Monday through Friday during standard business hours, excluding holidays or dates we designate as closed.
  • Project timelines depend on timely client communication, approvals, and content submission.
  • Delays in providing requested information, access, or materials may delay the project timeline.
  • At least 24 hours’ notice is required to reschedule any scheduled calls or time-specific work where applicable.

6. Client Responsibilities

  • Provide accurate information and respond promptly to support timely completion of your request.
  • Provide all required content, logins, and access details before the scheduled start date of your project or monthly cycle.
  • Ensure that shared files, logins, and credentials are authorized and legally permissible for use.
  • Maintain copies and backups of all important files, website content, and records.
  • For website projects, clients are responsible for selecting their platform, purchasing their domain, arranging hosting or account setup where applicable, and providing working login credentials before the project begins.

7. Confidentiality

We treat all client information as confidential and will not disclose it without consent, except where required by law. Clients are encouraged to use secure methods when sharing sensitive credentials or business information.

8. Intellectual Property

  • Clients retain ownership of all materials and deliverables created on their behalf once paid in full.
  • Pynk Shadez retains ownership of proprietary systems, templates, and workflows used to complete projects, while clients receive a license to use deliverables for their business purposes.
  • We may showcase non-confidential work samples unless otherwise requested in writing.

9. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid for the specific service in question.

10. Termination

Either party may terminate services with written notice, subject to any notice periods outlined in your service agreement. Outstanding balances must be paid in full prior to termination. Confidentiality and intellectual property provisions survive termination.

11. Governing Law

These Terms & Conditions are governed by the laws of the State of North Carolina. Any disputes shall be resolved in the state or federal courts located in North Carolina.

12. Changes to These Terms

We may update these Terms periodically. Changes will be posted here with a new “Last Updated” date. Continued use of our services constitutes acceptance of the revised Terms.

13. Service-Specific Terms

13.1 Website Build

  • Website Build is a project-based service offered at a starting rate and scoped according to platform, content readiness, and requested deliverables.
  • Typical builds may include up to 4–5 pages, mobile-friendly design, branding alignment, and contact form setup.
  • Clients are responsible for selecting their platform, purchasing their domain, arranging hosting or account setup if applicable, and providing all required working login credentials before the project start date.
  • Light guidance may be provided based on experience, but platform selection, domain purchase, hosting purchase, and initial account setup are not included unless agreed to in writing.
  • Delays in providing required content, access, approvals, or technical information may delay the project timeline.
  • Website Build fees are non-refundable once work has begun.

13.2 Website Updates (On-Demand)

  • Website Updates are one-time, request-based services for businesses that need occasional edits or changes.
  • Typical updates may include text changes, image swaps, link fixes, button updates, and light section edits.
  • Larger changes, redesigns, additional pages, or technical troubleshooting may require a separate quote.
  • Pricing varies based on scope and request complexity.
  • On-demand update fees are non-refundable once work has begun.

13.3 Monthly Website Refresh

  • Monthly Website Refresh is a recurring service for clients who want their website updated consistently without submitting a new request each month.
  • This service generally includes one update cycle per month for minor content changes, light layout adjustments, or basic site cleanup, depending on the agreed scope.
  • Major redesigns, large new sections, technical troubleshooting, or out-of-scope requests may require a separate quote.
  • Monthly refresh fees are billed in advance and are non-refundable once the monthly cycle begins.
  • Unused update cycles do not roll over unless otherwise agreed in writing.

13.4 QuickBooks Monthly Maintenance

  • QuickBooks Monthly Maintenance is a recurring service designed to keep your QuickBooks account updated, organized, and easier to review each month.
  • This service may include posting and matching transactions, categorization of income and expenses, cleanup of uncategorized items, and generation of a monthly Profit & Loss (P&L) report.
  • A simple summary of monthly activity may be provided to help you understand what occurred during the period.
  • This service is for ongoing QuickBooks upkeep only and does not include account reconciliation, tax preparation, financial advising, or accounting services.
  • Clients are responsible for reviewing all financial reports and consulting a licensed accountant or tax professional for financial decisions.
  • Cleanup of significantly behind accounts, prior-period corrections, or requests outside the standard monthly scope may require a separate quote before work begins.
  • Monthly maintenance fees are billed in advance and are non-refundable once the monthly cycle begins.
